AGREEMENT TO OUR LEGAL TERMS

We are COMFIQ (‘Company‘, ‘we‘, ‘us‘, or ‘our‘), a company registered in Bangladesh at H34, R2, Sector 15, Dhaka, Bangladesh, 1230.
We operate the website https://comfiq.com (the ‘Site‘), as well as any other related products and services that refer or link to these legal terms (the ‘Legal Terms‘) (collectively, the ‘Services‘).

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (‘you‘), and COMFIQ, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the ‘Last updated’ date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.
All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the ‘Content’), as well as the trademarks, service marks, and logos contained therein (the ‘Marks’). Your use of our Services

Your submissions
By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services (‘Submissions’), you agree to assign to us all intellectual property rights in such Submission, and we shall be entitled to its unrestricted use and dissemination for any lawful purpose without acknowledgment or compensation to you. By sending us Submissions you confirm that you will not post anything illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, false, or misleading; that any such Submission is original to you or that you have the necessary rights to submit it; and that it does not constitute confidential information. You are solely responsible for your Submissions.

3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use of the Services will not violate any applicable law or regulation. If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account.

4. USER REGISTRATION
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.

5. PRODUCTS
We make every effort to display as accurately as possible the colours, features, specifications, and details of the products available on the Services. However, we do not guarantee that the colours, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colours and details of the products. All products are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.

6. PURCHASES AND PAYMENT
We accept the following forms of payment: bKash and Cash on Delivery.
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information as needed. All payments shall be in BDT. We may change prices at any time and reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We reserve the right to refuse any order placed through the Services, and to limit or cancel quantities purchased per person, household, or order.

7. RETURN POLICY

8. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to: systematically retrieve data to create a collection or database without written permission; trick, defraud, or mislead us or other users; circumvent or interfere with security-related features of the Services; disparage or harm us or the Services; use information obtained from the Services to harass or harm another person; misuse our support services or submit false reports; use the Services in a manner inconsistent with applicable laws; engage in unauthorised framing of or linking to the Services; upload viruses or other malicious code, or spam; use automated systems, bots, or data mining tools; delete copyright or proprietary notices; impersonate another user; use tracking mechanisms such as web bugs or spyware; disrupt or burden the Services or connected networks; harass our employees or agents; bypass access restrictions; copy or reverse-engineer our software; use buying or purchasing agents to make purchases; collect user data for unsolicited communications; or use the Services to compete with us.

9. USER GENERATED CONTRIBUTIONS
The Services do not generally offer users the ability to submit or post content. If we do provide such opportunity, any contributions you make must not infringe any third party's proprietary rights, must be your own original work or properly licensed, must not be false, misleading, unsolicited advertising, obscene, harassing, or in violation of any applicable law, and must not violate anyone's privacy or publicity rights. We do not assert ownership over your contributions, but by submitting feedback you agree we may use and share it for any purpose without compensation to you.

10. GUIDELINES FOR REVIEWS
We may provide areas for reviews or ratings. Reviews must be based on firsthand experience, must not contain offensive, abusive, or discriminatory language, must not reference illegal activity, and must not be organised campaigns for or against a product. We may accept, reject, or remove reviews at our sole discretion and are not liable for any review.

11. SOCIAL MEDIA
As part of the Services, you may link your account with third-party accounts. You represent that you are entitled to disclose your login information or grant us access without breaching any third-party terms. Your relationship with third-party service providers is governed solely by your agreement with them, and we are not responsible for any content from such third-party accounts.

12. THIRD-PARTY WEBSITES AND CONTENT
The Services may contain links to third-party websites or content that we do not investigate, monitor, or check for accuracy. We are not responsible for any third-party websites or content accessed through the Services, and inclusion of such links does not imply our endorsement.

13. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms, take appropriate legal action against violators, restrict or disable access to any contributions, remove excessive or burdensome content, and otherwise manage the Services to protect our rights and property.

14. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in Bangladesh, and by using them you consent to your data being transferred to and processed in Bangladesh.

We reserve the right to deny access to and use of the Services, without notice or liability, to any person for any reason, including breach of these Legal Terms. We may terminate your account or delete your content at any time, in our sole discretion. If we terminate your account, you are prohibited from creating a new account under your name or any other name.

16. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Services at any time without notice, and to modify or discontinue all or part of the Services. We are not liable for any modification, suspension, or discontinuance of the Services, nor can we guarantee the Services will be available at all times due to maintenance, hardware, or software issues.

17. GOVERNING LAW
These Legal Terms shall be governed by and defined following the laws of Bangladesh. COMFIQ and you irrevocably consent that the courts of Bangladesh shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

18. DISPUTE RESOLUTION
To expedite resolution and control costs, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Any dispute that remains unresolved shall be referred to and finally resolved by arbitration seated in Dhaka, Bangladesh, with proceedings conducted in Bangla, governed by the substantive law of Bangladesh. Arbitration shall be limited to the dispute between the parties individually, without class-action procedures, except for disputes concerning intellectual property rights, theft, piracy, invasion of privacy, unauthorised use, or claims for injunctive relief, which are not subject to arbitration and may be brought before a court of competent jurisdiction.

19. CORRECTIONS
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any such errors and to change or update information at any time without prior notice.

20. DISCLAIMER
The Services are provided on an as-is and as-available basis. Your use of the Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, and make no warranties about the accuracy or completeness of the Services' content. We assume no liability for errors or inaccuracies of content, personal injury or property damage resulting from your use of the Services, unauthorised access to our servers, interruptions in transmission, viruses transmitted through the Services, or any content posted by third parties. We do not endorse or guarantee any product or service advertised by a third party through the Services.

21. LIMITATIONS OF LIABILITY
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services, even if advised of the possibility of such damages. Our liability to you for any cause will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

22. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand made by any third party due to or arising out of your use of the Services, breach of these Legal Terms, breach of your representations and warranties, your violation of the rights of a third party, or any harmful act toward another user.

We will maintain certain data that you transmit to the Services for the purpose of managing performance, as well as data relating to your use of the Services. Although we perform regular backups, you are solely responsible for all data you transmit, and we have no liability to you for any loss or corruption of such data.

24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

25. MISCELLANEOUS
These Legal Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to enforce any right or provision shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law. We may assign our rights and obligations to others at any time. If any provision is determined to be unlawful or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Legal Terms.
